Never mind 2 CPUs. How greedy is the whole OEM thing. You must throw it away with your old PC. Why? So he can make more money.

So they darn well should let us upgrade a broken motherboard !! Replacing just the motherboard on a system is an entirely different kettle of fish to upgrading virtually the whole lot so that you have a new computer inside your old case, though.

In my view it should be acceptable to be able to continue using the version of Windows you had previously if you upgrade nearly everything and retire or sell off the old parts. Eventually one has to upgrade to a later version of Windows anyway because the older version won't run on the new hardware so old Bill gets his way in the end.

Not being able to use the same copy of Windows on two computers as the original poster is enquiring about is probably fair though.
